1. Preamble and Acceptance of Terms

These Terms and Conditions ("Terms", "Agreement") constitute a legally binding contract between Dr. Omics Research & Education Pvt. Ltd. ("Company", "Dr. Omics Edu", "We", "Us", or "Our"), a company incorporated under the Companies Act, 2013, and any individual, learner, corporate entity, or other user ("You", "User", or "Data Principal") who accesses, browses, registers on, or uses the website at www.dromicsedu.com and any associated mobile application or digital platform (collectively the "Platform").

These Terms govern Your access to and use of the Platform, including all courses, training programs, live sessions, recorded content, assessments, certifications, and ancillary services offered thereon (collectively "Services").

By performing any of the following actions, You confirm that You have read, understood, and unconditionally agreed to these Terms and all policies incorporated herein by reference:

  • Accessing or browsing the Platform;
  • Creating a User account;
  • Enrolling in or purchasing a Course or Service;
  • Clicking "I Accept" or any equivalent button; or
  • Providing Your personal or payment information on the Platform.
Important: If You do not agree to any provision of these Terms, You must immediately cease use of the Platform and must not enroll in or access any Course or Service.

These Terms must be read in conjunction with the Company's Refund and Cancellation Policy and Privacy Policy, all of which are incorporated herein by reference and form an integral part of this Agreement.

2. Definitions

In these Terms, unless the context otherwise requires:

"Platform"
The website www.dromicsedu.com and any associated applications, portals, or digital interfaces operated by the Company.

"Services"
All educational products and services offered on the Platform including Courses, live training, webinars, assessments, mentorship sessions, and certification programs.

"Course"
Any individual or bundled learning module, program, workshop, or training made available to Users on the Platform.

"User" / "You"
Any individual or entity who accesses, registers on, or uses the Platform, whether as a guest, registered member, or paying subscriber.

"User Content"
Any data, text, media, feedback, assignment submissions, reviews, or other material uploaded, posted, or transmitted by a User on the Platform.

"Personal Data"
As defined under the Digital Personal Data Protection Act, 2023: any data about an individual who is identifiable by or in relation to such data.

"Intellectual Property"
All copyright, trademarks, service marks, trade names, patents, trade secrets, database rights, moral rights, and any other proprietary rights owned by or licensed to the Company.

"Confidential Information"
Any non-public information relating to the Company's business, technology, course content, pricing, or operations disclosed to a User in any form.

"Force Majeure"
Events beyond the reasonable control of the Company including acts of God, war, terrorism, epidemics, government orders, cyberattacks, or infrastructure failures.

"Certificate"
A digital or physical credential issued by the Company upon successful completion of a Course.

3. User Eligibility and Account Registration

3.1 Age and Capacity

The Platform and Services are intended for Users who are at least eighteen (18) years of age. By using the Platform, You represent and warrant that:

  • You are at least 18 years of age, or if a minor, You have obtained verifiable consent from Your parent or legal guardian to use the Platform;
  • You have the full legal capacity and authority to enter into a binding agreement;
  • You are not barred from receiving the Services under applicable law;
  • All information You provide is accurate, current, and complete.
3.2 Account Creation

Certain features of the Platform and access to Courses require You to create a registered account. When registering, You agree to:

  • Provide accurate, truthful, and complete information including Your full legal name, valid email address, and contact number;
  • Maintain and promptly update Your account information to keep it accurate;
  • Keep Your login credentials confidential and not share them with any third party;
  • Notify the Company immediately at support@dromicslabs.com of any unauthorized use of Your account or suspected security breach;
  • Accept full responsibility for all activities conducted through Your account, whether authorized by You or not.
Note: Each User is permitted to maintain only one (1) active account on the Platform. Creation of duplicate or multiple accounts by the same individual is prohibited and may result in suspension of all associated accounts.
3.3 Company's Right to Refuse or Terminate Accounts

The Company reserves the right, in its sole and absolute discretion and without prior notice or liability, to:

  • Refuse registration or account creation to any person or entity;
  • Suspend, restrict, or permanently terminate any User account for breach of these Terms, violation of applicable law, fraudulent conduct, or conduct that is harmful to the Company or other Users;
  • Remove or disable access to any User Content that violates these Terms or applicable law.
Important: Termination of Your account does not entitle You to any refund of fees paid, except as expressly provided under the Company's Refund and Cancellation Policy.

4. Use of the Platform and Permitted Activities

4.1 License Grant

Subject to Your compliance with these Terms, the Company grants You a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Platform solely for Your personal, non-commercial educational purposes ("Permitted Use"). This license does not include any right to:

  • Reproduce, distribute, publicly display, or create derivative works from any Course content or Platform material;
  • Commercially exploit, resell, sublicense, or use the Platform or its content for business purposes without express written consent of the Company;
  • Reverse-engineer, decompile, or disassemble any software or technology underlying the Platform;
  • Frame or mirror any portion of the Platform on any other website or application.
4.2 Prohibited Conduct

You expressly agree NOT to engage in any of the following prohibited activities:

  • Recording, screen-capturing, downloading, or storing Course videos, materials, or assessments without explicit written authorization;
  • Sharing, distributing, broadcasting, or publishing any Course content to third parties, whether for commercial gain or otherwise;
  • Using automated tools, bots, scrapers, or scripts to access, collect, or index content from the Platform;
  • Uploading, posting, or transmitting any User Content that is unlawful, defamatory, obscene, infringing, harmful, or in violation of any third-party rights;
  • Impersonating any person or entity or misrepresenting Your affiliation with any person or organization;
  • Engaging in academic fraud including plagiarism, cheating on assessments, or misrepresenting completion of Course requirements;
  • Attempting to gain unauthorized access to any portion of the Platform, other User accounts, or the Company's servers;
  • Introducing malware, viruses, or any malicious code into the Platform or its infrastructure;
  • Using the Platform in any manner that could damage, disable, overburden, or impair its operation;
  • Circumventing or attempting to circumvent any technical protection measures on the Platform.
Important: Violation of any prohibition in Section 4.2 may result in immediate account suspension, forfeiture of any fees paid, civil liability, and may attract criminal prosecution under applicable law including the IT Act, 2000.
4.3 Corporate and Institutional Use

Where the Platform is accessed by or on behalf of a corporate or institutional client for training employees or students in bulk, such use shall be governed by a separate Master Services Agreement. In the absence of such agreement, these Terms shall apply. Unauthorized multi-user access under a single individual account is strictly prohibited.

5. Intellectual Property Rights

5.1 Company's Intellectual Property

All content, materials, and technology on the Platform — including but not limited to course videos, lecture notes, study materials, assessments, question banks, software, source code, databases, graphics, logos, trademarks, and domain names — are the exclusive intellectual property of Dr. Omics Research & Education Pvt. Ltd. or its licensors, and are protected under the Copyright Act, 1957, the Trade Marks Act, 1999, and other applicable Indian and international intellectual property laws.

No content from the Platform may be copied, reproduced, republished, uploaded, posted, transmitted, distributed, or used in any form without the prior written consent of the Company.

5.2 User Content License

When You submit, upload, or post any User Content on the Platform (including feedback, forum posts, assignment submissions, or reviews), You grant the Company a non-exclusive, royalty-free, worldwide, perpetual, irrevocable license to use, display, reproduce, adapt, and distribute such User Content for the purposes of operating, improving, and promoting the Platform and its Services. You represent and warrant that You have all rights necessary to grant this license and that the User Content does not infringe any third-party rights.

5.3 Feedback and Suggestions

Any feedback, suggestions, or ideas You provide to the Company regarding the Platform or Services shall be deemed non-confidential and shall become the exclusive property of the Company. The Company shall have no obligation to compensate You for such feedback and may use it without restriction.

5.4 DMCA and Takedown

If You believe that any content on the Platform infringes Your intellectual property rights, please notify us in writing at support@dromicslabs.com with full details of the allegedly infringing content and proof of Your ownership. The Company shall investigate all valid complaints and take appropriate action.

6. Course Enrollment, Access, and Delivery

6.1 Enrollment

Enrollment in a Course is complete only upon receipt by the Company of full payment of the applicable fee and issuance of an enrollment confirmation to Your registered email address. The Company reserves the right to cancel or modify any Course at any time with notice to enrolled Users.

6.2 Access Period

Unless otherwise specified in the Course details:

  • Recorded Course content shall be accessible for a period of twelve (12) months from the date of enrollment;
  • Live session access is restricted to the scheduled dates and times;
  • Course materials may be updated, supplemented, or revised at the Company's discretion during the access period;
  • Access expires upon completion of the access period and is non-extendable unless a renewal is purchased.
6.3 Technical Requirements

You are solely responsible for ensuring that Your device, internet connection, and browser meet the minimum technical requirements for accessing Course content. The Company shall not be liable for inaccessibility caused by Your own hardware, software, or connectivity limitations.

6.4 Certifications

Certificates of Completion are issued only upon satisfaction of all Course requirements including completion of all modules and assessment benchmarks. Certificates are non-transferable, issued in the name of the enrolled User, and may be verified digitally through the Platform. The Company does not guarantee employment, promotion, or any specific outcome as a result of receiving a Certificate.

7. Payments, Taxes, and Pricing

7.1 Pricing

All Course fees are listed on the Platform in Indian Rupees (INR) inclusive of applicable taxes unless stated otherwise. The Company reserves the right to change pricing at any time. Prices applicable at the time of enrollment shall be honored for that enrollment.

7.2 Payment Processing

Payments are processed through third-party PCI-DSS compliant payment gateways. The Company does not store or have access to Your full card or banking credentials. By making a payment, You represent that You are the authorized holder of the payment instrument used. All transactions are subject to verification.

7.3 Taxes

You are responsible for all taxes, levies, or duties applicable to Your purchase under the laws of Your jurisdiction. Where GST or other indirect taxes are applicable, they will be charged at the prevailing rate and reflected in Your invoice.

7.4 Failed or Disputed Transactions

If a payment fails after an enrollment is processed, the Company reserves the right to suspend access to the Course until payment is successfully completed. Disputed transactions initiated with Your bank or card issuer (chargebacks) without first seeking resolution through the Company's support process shall be treated as a breach of these Terms and may result in permanent account suspension.

8. Communications and Notifications

8.1 Transactional Communications

By creating an account or enrolling in a Course, You consent to receive essential transactional communications including enrollment confirmations, payment receipts, course updates, scheduling notices, and policy changes. These communications are necessary for the performance of the contract and cannot be opted out of while Your account remains active.

8.2 Promotional Communications

With Your separate and explicit consent, We may send You promotional communications regarding new Courses, offers, events, and educational updates via email, SMS, WhatsApp, RCS, or other electronic channels. You may withdraw consent for promotional communications at any time by:

  • Clicking the "Unsubscribe" link in any promotional email;
  • Replying "STOP" to any SMS or WhatsApp message; or
  • Contacting support@dromicslabs.com with the subject line "Unsubscribe Request".
Note: Withdrawal of consent for promotional communications will not affect transactional communications, which are required for service delivery.
8.3 Compliance with DPDP Act

All communications by the Company are governed by the Digital Personal Data Protection Act, 2023 and applicable TRAI regulations. Consent for communications is recorded and maintained. You may request details of consent given by contacting support@dromicslabs.com.

9. Information Disclaimer and Accuracy

9.1 Educational Purpose

All content on the Platform, including Course materials, instructor-led commentary, blog posts, articles, and resource links, is provided for educational and informational purposes only. Nothing on the Platform constitutes or should be construed as professional legal, medical, financial, regulatory, or safety advice.

9.2 No Warranty of Accuracy

While the Company endeavors to ensure that Course content is accurate, current, and of high quality, We make no representation or warranty — express or implied — regarding the completeness, accuracy, reliability, suitability, or availability of any content on the Platform. You should independently verify any information before relying on it for professional, personal, or commercial decisions.

9.3 Third-Party Content

The Platform may contain links to third-party websites, resources, or materials. Such links are provided for convenience only and do not constitute an endorsement, recommendation, or approval by the Company of the linked content. The Company has no control over and accepts no responsibility for the content, privacy policies, or practices of any third-party website or service.

9.4 Advertisements

The Platform may display third-party advertisements. The Company does not endorse any advertised products or services. Interaction with advertisements is entirely at Your own risk and is governed by the advertiser's terms and privacy policy. The Company shall not be liable for any loss or damage arising from reliance on any advertised content.

10. Privacy and Data Protection (DPDP Act, 2023)

10.1 Data Fiduciary

Dr. Omics Research & Education Pvt. Ltd. is the Data Fiduciary as defined under the Digital Personal Data Protection Act, 2023 ("DPDP Act"). We determine the purposes and means of processing Your Personal Data in connection with the Platform.

10.2 Data Collected

We collect Personal Data including but not limited to: identity data (name, age, gender), contact data (email, phone, address), financial data (payment instrument details via secure gateways), academic data (course progress, assessments, certifications), and technical data (IP address, browser, device identifiers, cookies). For complete details, please refer to our Privacy Policy.

10.3 Purpose and Basis of Processing

Personal Data is processed on the following lawful bases under the DPDP Act:

  • Your freely given and informed Consent for enrollment, marketing, and personalization;
  • Performance of the contract for Course delivery, payment processing, and support;
  • Legal obligation compliance including tax, audit, and regulatory requirements;
  • Legitimate interests including fraud prevention, Platform security, and service improvement.
10.4 Rights of Data Principals

As a Data Principal under the DPDP Act, You have the following rights:

To exercise any rights, contact support@dromicslabs.com with subject "Data Principal Rights Request" and proof of identity. We will respond within thirty (30) days.

10.5 Data Security and Breach Notification

The Company employs industry-standard technical and organizational security measures including TLS encryption, access controls, and regular security audits to protect Your Personal Data. In the event of a Personal Data breach, the Company shall notify the Data Protection Board of India and affected Users in accordance with the DPDP Act.

10.6 Children's Data

The Platform does not knowingly collect Personal Data from individuals under eighteen (18) years without verifiable parental or guardian consent, in accordance with Section 9 of the DPDP Act. Parental/guardian consent is mandatory before a minor accesses any Service. No behavioral tracking or profiling of minors shall be conducted.

11. Disclaimers and Warranties

11.1 "As Is" Provision

The Platform and all Services are provided on an "as is" and "as available" basis, without any warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted access.

11.2 No Outcome Guarantee

The Company does not warrant or guarantee any specific learning outcomes, employment prospects, salary improvements, promotions, career advancement, or results from completion of any Course. Educational outcomes depend on individual effort, prior knowledge, and external factors beyond the Company's control.

11.3 Service Availability

The Company does not guarantee that the Platform will be available continuously or error-free. Scheduled or unscheduled maintenance, technical upgrades, or Force Majeure events may result in temporary unavailability. The Company shall endeavor to provide advance notice of planned downtime where reasonably practicable.

12. Limitation of Liability and Indemnification

12.1 Limitation of Liability

To the maximum extent permitted by applicable law, the Company, its directors, officers, employees, agents, contractors, and licensors shall not be liable for:

  • Any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to loss of profits, data, goodwill, or business opportunities;
  • Any loss or damage arising from Your reliance on Course content, Platform information, or third-party links;
  • Any unauthorized access to or alteration of Your account or data not attributable to the Company's gross negligence;
  • Any loss arising from Force Majeure events.

In all cases, the Company's aggregate liability to You for any claim arising out of or related to these Terms or the Services shall be strictly limited to the total fees actually paid by You for the specific Course giving rise to the claim in the twelve (12) months preceding the claim.

12.2 Indemnification by User

You agree to indemnify, defend, and hold harmless the Company, its directors, officers, employees, agents, and licensors from and against any and all third-party claims, demands, actions, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your breach of any provision of these Terms;
  • Your use or misuse of the Platform or Services;
  • Any User Content You submit that infringes third-party rights or violates applicable law;
  • Your violation of any applicable laws or regulations;
  • Any unauthorized access You facilitate to the Platform or Course content.

13. General Release and Limitation of Reliance

By using the Platform, You acknowledge that:

  • The Platform serves as an educational medium and does not guarantee any specific professional, regulatory, or safety outcomes;
  • Any actions You take based on information, opinions, or views expressed on the Platform are undertaken entirely at Your own risk and discretion;
  • The Company is not affiliated with or part of any regulatory, law enforcement, or certification authority unless expressly stated in a specific Course;
  • Experiences or case studies shared on the Platform by instructors or Users are individual accounts and may not be verified by the Company for accuracy or applicability;
  • You shall not rely exclusively on Platform content for making legal, medical, financial, or safety-related decisions.

14. Suspension, Termination, and Consequences

14.1 Termination by Company

The Company may suspend, restrict, or permanently terminate Your access to the Platform and/or any Course at any time, without prior notice and without liability, if:

  • You breach any provision of these Terms or any incorporated policy;
  • You engage in fraudulent, abusive, or unlawful conduct on or in connection with the Platform;
  • You misuse, redistribute, or commercially exploit Course content in an unauthorized manner;
  • Any payment made by You is reversed, charged back, or found to be fraudulent;
  • The Company is required to do so by a court order, regulatory authority, or applicable law.
14.2 Termination by User

You may close Your account at any time by contacting support@dromicslabs.com. However, closure of Your account does not automatically entitle You to any refund of fees paid. Refund entitlement is governed exclusively by the Company's Refund and Cancellation Policy.

14.3 Effect of Termination

Upon termination, Your license to use the Platform and all associated access rights shall immediately cease. Provisions of these Terms that by their nature should survive termination — including Intellectual Property, Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution — shall survive and remain in full force.

15. Dispute Resolution and Governing Law

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. The applicability of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

15.2 Informal Resolution

In the event of any dispute, grievance, or claim arising out of or relating to these Terms or the Services, You agree to first contact the Company at support@dromicslabs.com and attempt to resolve the matter informally. The Company shall endeavor to respond within fifteen (15) business days.

15.3 Arbitration

If the dispute is not resolved informally within thirty (30) days of written notice, it shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, as amended. The seat and venue of arbitration shall be Delhi, India. The language of arbitration shall be English. The arbitral tribunal shall consist of a sole arbitrator mutually appointed by the parties. The arbitral award shall be final and binding.

15.4 Jurisdiction

Subject to the arbitration clause above, the courts at Delhi, India shall have exclusive jurisdiction over all matters arising out of or in connection with these Terms.

15.5 Consumer Rights

Nothing in these Terms limits or excludes Your rights as a consumer under the Consumer Protection Act, 2019, or any other applicable consumer protection legislation in India.

16. Modifications to Terms and Platform

16.1 Modifications to Terms

The Company reserves the right to update, amend, or replace these Terms at any time. The revised Terms shall be posted on the Platform with an updated "Last Revised" date. Where material changes are made, the Company will endeavor to provide reasonable notice to registered Users via email or a prominent notice on the Platform. Your continued use of the Platform after the posting of revised Terms constitutes Your acceptance of such changes.

16.2 Modifications to Services

The Company reserves the right to modify, suspend, discontinue, or add features or Courses on the Platform at any time without liability. Where a Course is discontinued after enrollment but before the User's access period expires, the Company shall offer an alternative Course of equivalent value or a pro-rated refund at its discretion.

17. General Provisions

17.1 Entire Agreement

These Terms, together with the Refund and Cancellation Policy and Privacy Policy, constitute the entire agreement between You and the Company with respect to the subject matter hereof and supersede all prior negotiations, representations, and agreements.

17.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a competent court, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

17.3 Waiver

Failure or delay by the Company in exercising any right or remedy under these Terms shall not constitute a waiver of that right or remedy.

17.4 Assignment

You may not assign, transfer, or sub-license any of Your rights or obligations under these Terms without the prior written consent of the Company. The Company may freely assign its rights and obligations, including in connection with a merger, acquisition, or sale of assets, subject to providing notice to Users.

17.5 Notices

All notices to the Company under these Terms must be sent in writing to support@dromicslabs.com. Notices shall be deemed received on the next business day following transmission. The Company may send notices to You at the email address registered on Your account.

17.6 Language

These Terms are drafted and shall be interpreted in the English language. Any translation provided for convenience shall be subordinate to the English version in the event of any inconsistency.

19. User Acknowledgement

By clicking "I Accept", registering an account, or accessing any Course, You confirm that:

  • You have read these Terms in full and agree to be legally bound by them;
  • You have given free, specific, informed, and unambiguous consent to the processing of Your Personal Data as described herein and in the Privacy Policy;
  • You are of legal age (18 years or above) or have obtained valid parental/guardian consent;
  • You understand that access to the Platform is a privilege and may be revoked for breach of these Terms;
  • You acknowledge that digital educational content is a non-returnable service subject to the Refund Policy conditions.
